Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by Sulong Tech (“we”, “our”, or “us”), including our website, IT consulting, custom software development, hardware solutions, AI integrations, workflow automation, and communications via WhatsApp Business.

By engaging our services, accessing our website, or communicating with us through any channel including WhatsApp, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Sulong Tech provides the following services to business clients:

• Custom software development (web applications, internal tools, APIs)
• Hardware procurement, setup, and lifecycle support
• AI and large language model integrations
• Workflow and process automation
• IT support and proactive system maintenance
• Technology consulting, architecture reviews, and roadmap planning

Specific deliverables, timelines, fees, and scope are defined in individual project agreements, statements of work, or service contracts executed between Sulong Tech and the client. These Terms apply in addition to any such agreements.

Sulong Tech uses the WhatsApp Business API, operated by Meta Platforms, Inc., to communicate with clients regarding project updates, support notifications, and service information.

• By providing your WhatsApp number and opting in, you consent to receive business communications from Sulong Tech via WhatsApp.
• Message frequency will vary based on your active engagement and service requirements.
• Message and data rates may apply depending on your mobile carrier.
• You may opt out at any time by replying STOP to any message or by contacting us at hello@sulongtech.com.
• WhatsApp messaging is used solely for legitimate business communications — never for spam or unsolicited marketing.
• All WhatsApp communications are also subject to Meta's Terms of Service and Privacy Policy.

When engaging Sulong Tech, you agree to:

• Provide accurate and complete information required to deliver the agreed services.
• Use our services only for lawful purposes and in compliance with applicable laws and regulations.
• Not misuse any communication channel, including WhatsApp, for fraud, harassment, or dissemination of harmful content.
• Maintain the confidentiality of any credentials, access keys, or system access provided by Sulong Tech.
• Pay agreed fees on time as outlined in your project agreement.

Upon full payment, clients receive ownership of custom deliverables (code, designs, documentation) produced specifically for them under a project agreement, unless otherwise specified. Sulong Tech retains ownership of:

• Pre-existing tools, frameworks, libraries, and internal methodologies used in delivery.
• General knowledge, skills, and know-how developed by our team.
• Any work explicitly marked as proprietary in a project agreement.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the service relationship. Confidential information does not include information that is publicly available, already known to the receiving party, or required to be disclosed by law.

Our services are provided on an “as is” and “as available” basis. While we strive for excellence, Sulong Tech makes no warranties — express or implied — regarding the fitness of our deliverables for any particular purpose, uninterrupted availability, or absence of errors. Any performance estimates or outcome projections are indicative only.

To the maximum extent permitted by applicable law, Sulong Tech shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to our services, including loss of profits, data, or business opportunities.

Our total liability for any claim arising from a specific project shall not exceed the total fees paid by the client for that project in the three (3) months preceding the claim.

Either party may terminate a service engagement by providing written notice as specified in the relevant project agreement. Upon termination:

• All outstanding fees for work completed become immediately due.
• Sulong Tech will hand over all client-owned deliverables and data.
• WhatsApp Business messaging will cease within 5 business days.
• Confidentiality obligations continue to apply.

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Philippines, without regard to conflict of law principles.

We reserve the right to update these Terms at any time. The effective date at the top of this page reflects the latest revision. We will notify active clients of material changes via email or WhatsApp. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
